1Acceptance of Terms

Legal Binding Agreement

By accessing, browsing, creating an account on, or using TechieNova in any capacity, you agree to be bound by these Terms of Service, our Privacy Policy, and all other applicable policies, guidelines, and procedures. If you do not agree to any portion of these terms, you may not use the Platform.

TechieNova is an online professional marketplace platform that connects clients seeking technology and creative services with qualified freelancers offering those services. We are a technology intermediary—a neutral platform facilitating transactions.

What TechieNova Is NOT

  • ❌ We do NOT execute, perform, or deliver services ourselves
  • ❌ We do NOT employ freelancers (all are independent contractors)
  • ❌ We do NOT guarantee project completion, quality, or delivery
  • ❌ We do NOT provide legal, financial, tax, or accounting advice
  • ❌ We do NOT hold liability for freelancer conduct or client disputes beyond our mediation process

Critical Disclaimer: TechieNova facilitates connections but is not responsible for outcomes. Use our escrow system and dispute resolution for protection. For direct payments, you assume full risk.

3User Eligibility & Account Registration

Age Requirements

Clients: Must be at least 18 years old and have legal capacity to enter into binding contracts.

Freelancers: Must be at least 15 years old. If under 18, you must obtain verifiable parental or legal guardian consent. Users under 18 may have restricted access to certain payment methods and project categories.

4General User Responsibilities

Compliance with Laws

You agree to comply with all applicable laws including labor laws, tax laws, intellectual property laws, anti-corruption laws, and data protection laws (GDPR, CCPA, etc.).

Professional Conduct

  • Communicate respectfully with other users
  • Honor all agreements and contractual obligations
  • Provide timely and accurate information
  • Resolve disputes in good faith

5Freelancer Obligations

Quality & Delivery

  • Deliver work meeting agreed specifications and requirements
  • Ensure all deliverables are original (unless otherwise agreed)
  • Maintain professional standards and best practices
  • Test and verify deliverables before submission
  • Respond to messages within 24 hours
  • Alert clients to delays promptly
  • Deliver work by agreed deadline

Prohibited Freelancer Conduct

  • Submitting work created by others without permission (plagiarism)
  • Using AI-generated content without explicit client approval
  • Delivering incomplete or untested work
  • Moving communication/payments outside Platform
  • Requesting payment in advance outside escrow
  • Abandoning projects without completion

6Client Obligations

Project Specification & Payment

  • Provide detailed, comprehensive project descriptions
  • Clearly outline deliverables, timelines, and requirements
  • Fund escrow before work begins (for escrow payments)
  • Pay freelancers within 7-10 days after project completion approval
  • Respond to freelancer questions promptly
  • Provide constructive feedback for revisions

Prohibited Client Conduct

  • Withholding payment without valid reasons
  • Requesting work outside agreed scope
  • Dismissing freelancers without cause or payment
  • Engaging in fraudulent disputes to avoid payment

7Payment Terms & Commission

🛡️ Two Payment Options Available

Choose the protection level that works for your project

Escrow (Protected) Projects: 2-7% Commission

Most secure option with platform protection and dispute resolution

  • Base Rates by Project Size:
    • Small projects (<$500): 2% base rate
    • Medium projects ($500-$2,500): 4% base rate
    • Large projects ($2,500+): 5% base rate
  • Rating Modifier: -0.5% for 4.5+ stars; +1% for below 4.0 stars
  • Completion Rate Modifier: -0.5% for 95%+; +1% for below 80%
  • Platform Tenure Modifier: -0.5% for 12+ months; +0.5% for under 3 months
  • Lifetime Revenue Modifier: -1% for $25k+ earned; -0.5% for $5k-$25k

Final Commission Range: 2-7% (automatically clamped to protect both parties). Your actual rate depends on your profile metrics and project specifics.

Direct Payment: 0% Commission

Freelancer-friendly but with higher risk

  • ✓ No platform commission charged—freelancer receives 100%
  • ✓ Immediate payment upon completion
  • ⚠️ No dispute resolution or refund protection
  • ⚠️ Client and freelancer arrange payment privately

Important: Direct payment bypasses all platform protections. We recommend escrow for first-time collaborations. Choose direct only if you have established trust with the other party.

8Escrow & Payment Methods

Payment Timeline

  • Escrow: 7-10 business days after client approval
  • Direct: Immediate upon freelancer completion
  • Bank Transfer: 1-3 business days
  • Wallet Balance: Instantly available

Refund Policy

  • Completed work is non-refundable unless disputed
  • Disputes investigated by admin team
  • Refunds processed within 14 business days

9Intellectual Property Rights

Work Ownership

  • Freelancers retain IP rights unless explicitly transferred
  • Upon payment, clients receive non-exclusive license
  • Clients may not resell work as their own
  • Freelancers warrant all work is original or properly licensed

Copyright & Infringement

  • Users warrant content complies with copyright law
  • Infringing content will be removed upon notice
  • Repeated infringement results in suspension/termination

10Prohibited Activities & Content

Platform-Wide Forbidden Conduct

  • 🚫 Illegal activities or services (any jurisdiction)
  • 🚫 Fraud, scams, or deceptive practices
  • 🚫 Money laundering or financial crime
  • 🚫 Harassment, threats, or abuse of users
  • 🚫 Creating duplicate accounts to evade restrictions
  • 🚫 Hacking, malware, or security breaches
  • 🚫 Spam, unwanted promotion, or phishing
  • 🚫 Adult content (18+ restricted)

💻 Web Development
  • No backdoors, security exploits, or intentional vulnerabilities
  • Must follow OWASP security guidelines
  • Code must be free of malware
  • Deliverables must be tested on multiple browsers
🎨 Design & UI/UX
  • No copyright-infringing images, fonts, or icons
  • All assets must be licensed or original
  • File delivery in requested format (PSD, Figma, etc.)
  • Sources and fonts must be included
📝 Content Writing & Copywriting
  • 100% original content (no plagiarism from any source)
  • Plagiarism checked and scored below 5%
  • Proper citations for any references
  • SEO compliance and readability standards met
🤖 AI & Machine Learning
  • No biased or discriminatory models
  • Respect user data privacy and compliance laws
  • Proper documentation of model limitations
  • Training data sources must be ethically sourced
🎭 Graphic Design
  • No unauthorized logos, trademarks, or brand marks
  • Original artwork or properly licensed assets only
  • High-resolution deliverables (300dpi for print)
  • Source files provided in native format
📢 Marketing & Social Media
  • Comply with FTC guidelines for disclosures
  • No false or misleading claims
  • Respect platform-specific policies (Instagram, TikTok, etc.)
  • No hate speech, discrimination, or offensive content

Violation Consequences: Content violations result in project rejection, account warning, suspension, or permanent termination. Severe violations may result in legal action.

11Dispute Resolution

Process

  1. Direct Communication (48 hours)

  4. Binding Decision
  5. Implementation (5-7 business days)

No Class Action

Users agree not to pursue class actions. All disputes are resolved individually through TechieNova mediation.

12Limitation of Liability

As-Is Platform

The Platform is provided "AS-IS" without warranties. We do not guarantee project completion, deliverable quality, freelancer reliability, or continuous availability.

Liability Cap

TechieNova's total liability shall not exceed the amount paid by the user in the 12 months preceding the claim.

13Data Privacy & Security

Security Measures

We implement SSL/TLS encryption, secure authentication, and firewalls. However, no system is 100% secure.

Personal Data

  • We collect data necessary to operate the Platform
  • We do not sell personal data to third parties
  • We comply with GDPR, CCPA, and privacy laws
  • Users can request access or deletion of data

14Account Termination

Termination by TechieNova

We may suspend/terminate accounts for: violation of Terms, fraud, repeated violations, illegal activity, IP infringement, user abuse, multiple disputes, payment fraud, or security concerns.

Consequences

  • Account access revoked
  • Active projects suspended
  • Wallet funds may be forfeited
  • User may be barred from re-registering

Right to Appeal

Users may appeal within 30 days. TechieNova will provide final decision.

15Modifications to Terms

TechieNova reserves the right to modify these Terms at any time. Changes become effective immediately. We will notify users of material changes, but continued use constitutes acceptance.

16Governing Law & Jurisdiction

These Terms are governed by Indian law. Users consent to exclusive jurisdiction in Indian courts. Users waive jury trial rights.
